End User License Agreement — OHW-Daily

1. Scope

This End User License Agreement (“Agreement”) governs use of OHW-Daily (the “Software”), an internal accounting automation tool operated by Wanderlust Investments Inc. (“we”, “us”).

The Software is private. It is not offered, sold, licensed, or distributed to the public. It is used solely by Wanderlust Investments Inc. and its affiliated entities.

2. License

We grant our authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Software for internal business purposes only, in compliance with this Agreement and with Intuit’s applicable API terms of service.

3. Authorized use

Only individuals authorized by Wanderlust Investments Inc., with authority to permit access to the relevant QuickBooks Online company files, may connect or operate the Software.

4. Restrictions

Users will not: sublicense, distribute, or make the Software available to third parties; use it to access financial data belonging to anyone other than Wanderlust Investments Inc. and its affiliated entities; or use it in violation of applicable law or Intuit’s terms.

5. Data

The Software reads financial report data from QuickBooks Online and writes it to storage controlled by Wanderlust Investments Inc. It also records accounting entries prepared from our own point-of-sale data back into QuickBooks Online, at the direction of an authorized user. It does not transmit data to us as a vendor, to Intuit beyond the API calls required, or to any third party. See the Privacy Policy.

6. No warranty

The Software is provided “as is”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Output is intended for internal review and is not a substitute for professional accounting judgment. Figures produced by the Software are reviewed by a person before being relied upon.

7. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Software.

8. Termination

This Agreement remains in effect until terminated. Access may be revoked at any time. On termination, the Software’s authorization to access QuickBooks Online data is disconnected.

9. Governing law

This Agreement is governed by the laws of the State of Washington, United States.
